Terms of Service

1. Agreement
These Terms of Service ("Terms") form a binding agreement between you and TerraList ("TerraList", "we", "us"). By creating an account or using the platform you accept these Terms.
2. Governing law and jurisdiction
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario. The parties attorn to the exclusive jurisdiction of the courts of Ontario sitting in Toronto for any dispute arising under or in connection with these Terms, subject to the consumer protection rights residents of Quebec, British Columbia, and other provinces have under their local laws.
3. What TerraList is — and is not
TerraList is an online listing and discovery platform connecting Canadian small business sellers, buyers, and brokers. TerraList is not a licensed business broker, chartered business valuator (CBV), investment dealer, securities dealer, real estate brokerage, lawyer, accountant, or financial advisor. Listings, valuations, and AI-generated content on the platform are informational only and do not constitute professional advice. You must obtain independent legal, accounting, tax, and brokerage advice before making any acquisition decision.
4. Eligibility and accounts
You must be at least 18 years old and able to enter into binding contracts under Canadian law. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
5. Listings, accuracy, and Competition Act
Sellers and brokers are responsible for the accuracy, currency, and completeness of every listing they post. Representations made on the platform must comply with the Competition Act (Canada), including the prohibition on materially false or misleading representations to the public. TerraList may, but is not obligated to, remove listings that appear to violate these Terms or applicable law.
6. Subscriptions, fees, and consumer protection
Paid plans are billed through our payment processor in Canadian dollars and renew automatically until cancelled. You may cancel at any time from your account; cancellation takes effect at the end of the current billing period. Where applicable, residents of Ontario benefit from the Consumer Protection Act, 2002 (Ontario) and residents of Quebec benefit from the Consumer Protection Act (Quebec). GST/HST/QST is collected as required.
7. Privacy
Personal information is handled in accordance with our Privacy Policy, which explains your rights under the federal Personal Information Protection and Electronic Documents Act (PIPEDA) and Quebec's Act respecting the protection of personal information in the private sector as modernized by Law 25 (formerly Bill 64).
8. Acceptable use
You will not scrape, reverse engineer, transmit malware, harass other users, post unlawful or discriminatory content, or use the platform to circumvent securities laws, anti-money laundering laws, or sanctions.
9. Disclaimer and limitation of liability
The platform is provided "as is" without warranties of any kind. To the maximum extent permitted by applicable Canadian law, TerraList's aggregate liability arising out of these Terms or your use of the platform is limited to the greater of CAD $100 or the amount you paid TerraList in the 12 months preceding the claim. Nothing in these Terms limits liability that cannot be limited under applicable consumer protection law.
10. Changes
We may update these Terms by posting the revised version with a new "Last updated" date. Material changes will be communicated by email or in-product notice at least 30 days before they take effect.
